Terms of service For Uddokta Bondhu

Welcome to Sociends – Entrepreneurfriend. By accessing or using our services, you agree to be bound by the following terms. Please read them carefully.

1. Revenue & Commission Model

Our platform operates on a success-based partnership model. By using our service, you agree to the following financial terms:

• Sales Commission: A commission of 1% to 3% will be charged on the total monthly sales generated through your website.

• Minimum Sales Target: Every active site is expected to maintain a minimum sales volume of 9,999 BDT per month.

• Maintenance Fee: If your monthly sales fall below 9,999 BDT, a flat monthly maintenance fee of 299 BDT will be applicable for that month.

• Invoicing: At the end of each month, we will calculate your total sales and send an invoice for either the 1% commission or the 99 BDT fee, whichever is applicable.

2. Service Suspension & Reactivation

• Suspension: Failure to pay the monthly invoice (Commission or Maintenance Fee) within the specified due date will result in the temporary suspension of your website.

• Reactivation: Once the outstanding payment is cleared, your website will be reactivated immediately.

3. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.

• Any activities occurring under your account are your sole responsibility.

• You must provide accurate and updated information for billing and identification purposes.

4. Prohibited Activities

Users are strictly prohibited from:

• Selling illegal products or services prohibited by the laws of Bangladesh.

• Uploading malicious code, viruses, or attempting to breach the platform’s security.

• Using the platform for fraudulent activities or misleading customers.

5. Intellectual Property

• Your Content: You retain full ownership of the products, images, and branding you upload to your store.

• Our Platform: All software, design elements, and infrastructure provided by Sociends remain the exclusive property of Sociends.

6. Limitation of Liability

While we strive for 99.9% uptime and provide Daily Auto Backups, Sociends shall not be held liable for any indirect data loss or profit loss caused by third-party server issues or natural disasters. We recommend users keep independent records of their orders and customers.

7. Amendments

Sociends reserves the right to modify these terms at any time. Users will be notified of significant changes via the dashboard or email at least 15 days in advance.

Note: To make this legally binding, I recommend adding a checkbox during the user signup process that says: “I agree to the Terms and Conditions, including the 1% to 3% commission OR  299 BDT minimum maintenance fee.”

Sociends – Entrepreneurfriend প্ল্যাটফর্মটি ব্যবহার করার জন্য আপনাকে নিচের শর্তসমূহ মেনে চলতে হবে। এই শর্তগুলো আমাদের সেবার মান এবং আপনার ব্যবসার নিরাপত্তা নিশ্চিত করার জন্য প্রণয়ন করা হয়েছে।

১. কমিশন এবং পেমেন্ট পলিসি (সবচেয়ে গুরুত্বপূর্ণ)

আমাদের প্ল্যাটফর্মটি একটি বিশেষ “সাকসেস-বেসড” মডেলে পরিচালিত। এর শর্তাবলী নিম্নরূপ:

• কমিশন: আপনার ওয়েবসাইটের মাধ্যমে প্রতি মাসে মোট বিক্রির ওপর ১% থেকে ৩% কমিশন প্রযোজ্য হবে। প্রতি মাসের শেষে আপনার মোট বিক্রির হিসাব করে একটি ইনভয়েস পাঠানো হবে।

• মিনিমাম সেলস রিকোয়ারমেন্ট: প্রতিটি স্টোর বা সাইটের জন্য মাসে কমপক্ষে ৯,৯৯৯৳ (নয় হাজার নয়শ নিরানব্বই টাকা) বিক্রির লক্ষ্যমাত্রা থাকতে হবে।

• সার্ভিস মেইনটেন্যান্স ফি: যদি কোনো মাসে আপনার মোট বিক্রি ৯,৯৯৯৳ এর কম হয়, তবে সেই মাসের জন্য আপনাকে ২৯৯৳ মেইনটেন্যান্স ফি প্রদান করতে হবে।

• সাইট স্থগিতকরণ (Suspension): উপরোক্ত ইনভয়েস বা ফি সময়মতো পরিশোধ না করলে আপনার সাইটটি সাময়িকভাবে স্থগিত (Suspend) করা হতে পারে। তবে বকেয়া পরিশোধ করার সাথে সাথেই সাইটটি পুনরায় সচল করে দেওয়া হবে।

২. সেবার বিবরণ

• Sociends আপনাকে ওয়ান-ক্লিক ওয়ার্ডপ্রেস সেটআপ, ফ্রি SSL সার্টিফিকেট, আনলিমিটেড প্রোডাক্ট অ্যাড এবং পেমেন্ট গেটওয়ে ইন্টিগ্রেশনের সুবিধা প্রদান করবে।

• এই সুবিধাগুলো ব্যবহারের জন্য আপনাকে আমাদের নির্ধারিত কমিশন বা মাসিক মেইনটেন্যান্স ফি প্রদান করতে হবে।

৩. ব্যবহারকারীর দায়িত্ব

• আপনার সাইটে কোনো অবৈধ পণ্য বা বাংলাদেশের আইন পরিপন্থী কোনো কন্টেন্ট আপলোড করা যাবে না।

• ক্রেতাদের সাথে কোনো প্রকার প্রতারণা বা ভুল তথ্য প্রদান করা হলে তার সম্পূর্ণ দায়ভার স্টোর মালিকের (আপনার) উপর বর্তাবে।

৪. সাপোর্ট এবং যোগাযোগ

• আমরা ২৪/৭ বাংলা সাপোর্ট প্রদান করি। যেকোনো কারিগরি সমস্যা বা পেমেন্ট সংক্রান্ত জিজ্ঞাসার জন্য আমাদের Help Center-এ যোগাযোগ করুন।

• ইনভয়েস সংক্রান্ত কোনো দ্বিমত থাকলে তা ইস্যু করার ৩ কার্যদিবসের মধ্যে জানাতে হবে।

৫. ইন্টেলেকচুয়াল প্রপার্টি

• আপনার আপলোড করা সকল প্রোডাক্ট এবং ব্র্যান্ডের মালিকানা আপনার থাকবে। তবে প্ল্যাটফর্মের সফটওয়্যার এবং হোস্টিং পরিকাঠামো Sociends-এর নিজস্ব সম্পদ।

৬. আইন ও বিচারব্যবস্থা

• এই শর্তাবলী বাংলাদেশের ডিজিটাল নিরাপত্তা আইন এবং বাণিজ্যিক আইন অনুযায়ী পরিচালিত হবে।

সতর্কবার্তা: Sociends যেকোনো সময় বাজারের পরিস্থিতি বিবেচনা করে কমিশন বা ফি পরিবর্তনের অধিকার রাখে, যা অন্তত ১৫ দিন আগে ব্যবহারকারীকে নোটিশের মাধ্যমে জানানো হবে।
